1. Acceptance of Terms

These Terms of Use (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and the developer/operator of Diagram (“we”, “us”, or “our”), governing your access to and use of the Diagram mobile and desktop applications (the “App”), our website located at https://dgrm.app (the “Site”), and any associated services (collectively, the “Service”).

By downloading, installing, accessing, or using Diagram, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, do not install or use the Service.

2. Description of the Service & Self-Coaching Disclaimer

Diagram is a personal planning, habit tracking, task management, and self-coaching tool designed to help you structure goals, track daily routines, reflect on progress, and build clarity.

Important Disclaimers:

Not Medical, Psychological, or Therapy Advice: Diagram is an organizational and personal development tool. It is not a healthcare provider, clinical mental health service, psychiatric therapy, or suicide prevention service. If you are experiencing mental health crises or severe psychological distress, please seek professional medical care immediately.
Not Financial or Legal Advice: Any goal tracking, reflection, or planning related to business, finances, or legal matters is for personal organizational purposes only.

3. Artificial Intelligence (AI) Features Disclaimer

Diagram incorporates AI-assisted capabilities (such as goal decomposition, life harmony reflection, manifesto drafting, and voice intent processing) powered by third-party large language models (including Google Cloud / Gemini):

Informational & Drafting Nature: AI-generated suggestions (“Hot Drafts”) are generated algorithmically for inspiration and structuring. You maintain full discretion and responsibility to review, modify, accept, or reject any generated plans.
No Guarantee of Accuracy: AI outputs may occasionally be inaccurate, incomplete, or inappropriate. We do not warrant the accuracy, reliability, or completeness of AI-generated content.
No Autonomous Action: The App does not make automated legally binding or irreversible decisions on your behalf; data is only committed to your records upon your explicit interaction.

4. User Accounts & Offline Usage

Anonymous / Guest Mode: You may use Diagram locally without creating an account. In guest mode, your data resides entirely on your device, and you are responsible for maintaining your device’s security and local backups.
Registered Accounts: If you create an account (via Email/Password, Google Sign-In, or Sign in with Apple / Apple Account), you are responsible for safeguarding your login credentials and for all activities that occur under your account.
Account Deletion: You have the right to delete your account and all associated cloud data at any time directly in the App via Settings ➔ Account ➔ Delete Account.

5. In-App Purchases, Subscriptions & Billing

Diagram offers optional premium features (“Diagram Pro” / “Diagram Premium”) available through in-app purchases and subscriptions.

A. Subscription Tiers

Monthly Subscription: Billed on a recurring monthly basis.
Annual Subscription: Billed on a recurring annual basis (may include a free trial period, such as 7 days).

B. Free Trials

If offered, a free trial allows you to access premium features for a specified period (e.g., 7 days) starting upon enrollment.

Automatic Conversion: Unless cancelled at least 24 hours before the end of the free trial, your trial will automatically convert into a paid recurring annual subscription, and your payment method will be charged.
Forfeiture: Any unused portion of a free trial period will be forfeited if you purchase a subscription before the trial expires.

C. Billing & Auto-Renewal (Apple App Store & Google Play)

Payment Processing: All purchases are processed and billed directly through your Apple Account (on iOS/macOS) or Google Account (on Android) via the respective app store. Diagram does not process or store credit card details.
Auto-Renewal: Subscriptions automatically renew unless auto-renew is disabled at least 24 hours prior to the end of the current billing cycle.
Renewal Charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the standard tier rate selected.

D. Cancellation & Refunds

How to Cancel: You can manage or cancel your subscription at any time through your device’s account settings:
- iOS / macOS: Settings ➔ [Your Apple Account] ➔ Subscriptions ➔ Diagram.
- Android: Google Play Store ➔ Profile Icon ➔ Payments & Subscriptions ➔ Subscriptions ➔ Diagram.
Post-Cancellation: Cancelling a subscription stops future billing. You will retain access to premium features until the end of the current paid billing period.
Refunds: Subscription and purchase refund requests are governed exclusively by the refund policies of Apple (App Store) or Google (Google Play). Diagram cannot issue direct refunds for app store transactions.

6. User Content & Intellectual Property

A. Your Content

Full Ownership: You retain 100% ownership and all intellectual property rights in the data, text, goals, diary entries, notes, photos, and ideas you input into the App (“User Content”).
Limited License to Us: Solely to provide cloud backup and optional AI processing (when enabled/requested by you), you grant us a worldwide, non-exclusive, royalty-free license to store, process, and transmit your User Content strictly as described in our Privacy Policy. We do not sell your content.

B. Our Intellectual Property

The App, Site, trademarks, logos, visual interfaces, UI components, code, graphics, and design (“Diagram IP”) are the exclusive property of the developer and protected by copyright, trademark, and other applicable laws.
We grant you a limited, personal, revocable, non-exclusive, non-transferable license to download and use the App for your personal, non-commercial purposes in accordance with these Terms.

7. Prohibited Conduct

You agree not to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
Use the Service for any unlawful, fraudulent, or harmful purpose;
Abuse, overload, or disrupt our backend infrastructure or AI proxy services;
Attempt to bypass or circumvent subscription validation, security rules, or access limits;
Rent, lease, sublicense, resell, or distribute the App to third parties.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
DATA STORED LOCALLY OR IN THE CLOUD WILL NEVER BE SUBJECT TO LOSS OR CORRUPTION (USERS ARE ENCOURAGED TO REGULARLY USE THE IN-APP DATA EXPORT FEATURE);
AI-GENERATED SUGGESTIONS WILL SATISFY YOUR SPECIFIC PERSONAL OR PROFESSIONAL OBJECTIVES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER, ITS AFFILIATES, OFFICERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $50 USD OR THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

You may terminate this Agreement at any time by deleting your account and uninstalling the App.
We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you breach any material provision of these Terms or engage in fraudulent activity.
Upon termination, all provisions of these Terms that by their nature should survive will survive (including intellectual property, warranty disclaimers, and limitations of liability).

11. Third-Party Platforms (Apple & Google Terms)

If you downloaded the App from the Apple App Store or Google Play Store:

You acknowledge that these Terms are concluded between you and Diagram only, and not with Apple Inc. or Google LLC.
Apple and Google are not responsible for the App, its content, maintenance, support, or warranty claims.
Apple and Google (and their subsidiaries) are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the applicable laws of the developer’s jurisdiction of registration, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through good-faith negotiations before initiating any formal legal proceedings.

13. Changes to These Terms

We may revise these Terms from time to time. When changes are made, we will update the “Last Updated” date at the top of this document. If changes are material, we will provide notice through the App or website. Your continued use of Diagram following the posting of revised Terms means you accept and agree to the changes.
